LIFE By-Laws

The LIFE Institute is governed by a set of by-laws that provide the rules that govern the structure and high-level operations of the organization.

Donna Woolcott chaired the Board Governance Committee. Charles Wright, Ginny Bosomworth, and Vincent Fearon also served on that committee. The committee reviewed the organization’s governance rules and drafted a new by-law for the institute.

By-Law #1 was previously revised in 2013. The Letters Patent date back to 1992. The committee looked at those documents and at the Constitution (2002), as well as the legislation that governs not-for-profit corporations in Ontario. After nine drafts, they took the by-laws to lawyers for advice on final revisions. The new By-Law #1 is a streamlined document that

  • Incorporates important parts of the Constitution into By-Law #1;  
  • Meets the legal requirements for not-for-profit organizations;
  • Recognizes that the Board of Directors is evolving from a focus on operations to oversight;
  • Recognizes that the Executive Director and staff, working with volunteers, have responsibility for operations.
